The Website uses Third-Party Services such as Netlify for hosting and Google Analytics for website analysis. 8. Indemnification

You agree to defend, indemnify and hold harmless Banana Bytes Publishing Inc. and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of a) your use and access of the Website, or b) a breach of these Terms, or c) your User-Generated Content, or d) your violation of any law or the rights of a third party.

9. Termination

We may terminate or suspend your access to the Website immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Website will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to its conflict of law provisions. The courts located in New Westminster, British Columbia, shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Website.

11. Dispute Resolution

Informal Resolution: Before filing a formal legal claim, you agree to try to resolve the dispute informally by contacting us. We’ll try to resolve the dispute informally by contacting you via email.

Arbitration: If a dispute is not resolved informally, you and Banana Bytes Publishing Inc. agree to resolve any claims relating to these Terms or the Website through final and binding arbitration, except as set forth under Exceptions to Agreement to Arbitrate below. The arbitration will be conducted by the British Columbia International Commercial Arbitration Centre (BCICAC) under its rules. The arbitration will be held in New Westminster, British Columbia. The arbitration proceedings shall be confidential.

Exceptions to Agreement to Arbitrate: Either you or Banana Bytes Publishing Inc. may assert claims, if they qualify, in small claims court in New Westminster, British Columbia. Either party may bring a lawsuit solely for injunctive relief to stop unauthorized use or abuse of the Website, or intellectual property infringement (for example, trademark, trade secret, copyright, or patent rights) without first engaging in arbitration or the informal dispute-resolution process described above.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect by posting the updated Terms on this page. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Website after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Website.

13. Entire Agreement

These Terms constitute the entire agreement between you and us regarding your use of the Website and supersede any prior agreements.
